By accessing our website, requesting a quotation, purchasing any of our services, or otherwise engaging with Thinkegic Tech Ltd, you acknowledge that you have read, understood, and agree to be bound by these Terms.

These Terms are governed by the laws of England and Wales and are intended to create a fair and transparent relationship between Thinkegic Tech Ltd and its clients.

If you do not agree with these Terms, you should not use our website or purchase our services.

2. Definitions

For the purpose of these Terms:

“Client”, “Customer”, “you”, or “your” refers to any individual, business, or organisation purchasing or enquiring about our services.

“Services” refers to any work undertaken by Thinkegic Tech Ltd including design, development, marketing, consulting, hosting, maintenance, branding, advertising, software development, and related digital services.

“Website” refers to www.thinkegictech.co.uk and any related websites owned or operated by Thinkegic Tech Ltd.

“Agreement” refers collectively to these Terms & Conditions, any accepted quotation, proposal, invoice, purchase order, statement of work, or written agreement between Thinkegic Tech Ltd and the client.

3. Acceptance of These Terms

By using our website or purchasing our services, you confirm that:

  • You are at least 18 years of age or otherwise have legal capacity to enter into a binding agreement.
  • You have authority to act on behalf of any business or organisation you represent.
  • The information you provide to us is accurate and complete.
  • You agree to comply with these Terms at all times.

These Terms apply unless a separate written agreement has been signed by both parties.

4. Our Services

Thinkegic Tech Ltd provides customised digital services tailored to each client’s individual requirements.

Our services are delivered based upon the agreed quotation, proposal, statement of work, or written communication.

Unless specifically stated otherwise, every project is considered bespoke and is developed according to the individual requirements discussed with the client.

The exact scope of work, timelines, pricing, deliverables, and payment schedule will be confirmed before work commences.

Any work requested outside the agreed scope may require an additional quotation and may affect the original delivery timeline.

5. Quotations & Pricing

All quotations issued by Thinkegic Tech Ltd are valid for 30 calendar days from the date of issue unless otherwise stated.

Prices quoted are based upon the information available at the time of preparing the quotation.

If project requirements change after acceptance, we reserve the right to revise the quotation accordingly.

Unless expressly stated otherwise:

  • Third-party software licences
  • Premium plugins
  • Stock photography
  • Domain registration
  • Hosting fees
  • Advertising budgets
  • Printing costs
  • Government or regulatory fees

are not included within our quotations.

Additional services requested after project commencement may be quoted separately.

6. Payments

Payment terms will be specified within your quotation or invoice.

Unless otherwise agreed in writing:

  • An agreed deposit must be paid before work begins.
  • Remaining balances become payable according to the agreed payment schedule.
  • Thinkegic Tech Ltd reserves the right to suspend work where payments become overdue.
  • Ownership of completed work transfers only after full payment has been received.

Invoices should be paid by the due date stated on the invoice.

Failure to make payment may result in:

  • Suspension of ongoing work
  • Suspension of hosting or maintenance services
  • Delay in project delivery
  • Temporary removal of hosted websites where applicable
  • Recovery of outstanding amounts through lawful means

Where permitted by applicable law, overdue invoices may incur reasonable interest and debt recovery costs.

7. Project Timelines

We always aim to deliver projects within the estimated timeframe agreed with the client.

However, all delivery dates should be regarded as estimates rather than guaranteed deadlines.

Project timelines may be affected by circumstances including:

  • Delayed client feedback
  • Changes to project scope
  • Late submission of content
  • Technical issues
  • Third-party service providers
  • Platform outages
  • Force majeure events
  • Client approval delays

Thinkegic Tech Ltd will make reasonable efforts to keep clients informed of any significant changes affecting delivery schedules.

8. Client Responsibilities

Successful project delivery depends upon timely cooperation between both parties.

The client agrees to:

  • Provide accurate information.
  • Supply requested content, images, branding materials, and other assets within reasonable timeframes.
  • Ensure they possess appropriate rights to any materials supplied to Thinkegic Tech Ltd.
  • Review work promptly.
  • Communicate feedback clearly.
  • Approve completed work within a reasonable period.

Delays caused by incomplete information or slow responses from the client may extend project delivery dates.

Thinkegic Tech Ltd cannot be held responsible for delays resulting from client actions or omissions.

9. Revisions & Scope Changes

We value collaboration and aim to ensure every client is satisfied with the final outcome.

Reasonable revisions are included where specified within the quotation or proposal.

A revision refers to modifications made to previously presented work that remain within the originally agreed project scope.

Requests involving significant redesigns, new features, additional pages, or changes outside the agreed specification may be treated as additional work and quoted separately.

Where repeated revision requests substantially exceed the agreed project scope, Thinkegic Tech Ltd reserves the right to apply additional charges after discussing these with the client.

At Thinkegic Tech Ltd, we are committed to providing responsive, professional, and reliable customer support throughout your project and, where applicable, after project completion.

Our standard support hours are Monday to Friday during normal UK business hours, excluding public holidays.

While we always aim to respond promptly, response times may vary depending on the complexity and urgency of the enquiry.

Clients subscribed to a maintenance or support plan may receive priority assistance according to the terms of their selected package.

Support does not include additional development work, major redesigns, feature enhancements, or services outside the agreed scope unless otherwise specified within the client’s service agreement.

11. Website Hosting

Where Thinkegic Tech Ltd provides website hosting services, we aim to deliver reliable, secure, and professionally managed hosting solutions. While we work with reputable hosting providers and monitor our infrastructure to maintain high availability, no hosting service can guarantee uninterrupted operation at all times.

Our hosting services may include, where applicable:

  • Secure web hosting
  • Server management
  • SSL certificate installation (where included)
  • Website migration
  • Routine server maintenance
  • Security monitoring
  • Scheduled backups (subject to the selected hosting package)
  • Technical support related to hosting

Hosting fees are payable in advance according to the agreed billing cycle.

Clients are responsible for ensuring that renewal payments are made before the renewal date. Failure to renew hosting services may result in suspension or permanent removal of the hosted website by the hosting provider.

Where a website is suspended or deleted due to non-payment, Thinkegic Tech Ltd cannot guarantee recovery of website files, databases, emails, or backups.

Clients remain responsible for ensuring that the content hosted on our servers complies with all applicable laws and does not infringe the rights of any third party.

We reserve the right to suspend or terminate hosting services where hosted content is unlawful, harmful, fraudulent, or poses a security risk to our infrastructure or other clients.

12. Website Maintenance

Website maintenance services are designed to keep websites secure, functional, and up to date.

Depending on the selected maintenance package, services may include:

  • CMS updates
  • Plugin updates
  • Theme updates
  • Security monitoring
  • Performance optimisation
  • Website backups
  • Bug fixes
  • Minor content updates
  • Technical support

Maintenance packages do not include:

  • Complete website redesigns
  • Development of new functionality
  • Additional pages or major content creation
  • Third-party software licensing fees
  • Custom integrations unless specifically agreed
  • Recovery from issues caused by unauthorised third-party modifications

Clients are encouraged not to make unauthorised changes to their website’s code or server configuration, as this may affect website functionality and void certain maintenance obligations.

13. Search Engine Optimisation (SEO)

At Thinkegic Tech Ltd, we are committed to helping businesses strengthen their online presence through ethical, strategic, and data-driven Search Engine Optimisation (SEO).

Our SEO services may include, depending on the agreed package:

  • Website audits
  • Technical SEO improvements
  • Keyword research
  • Competitor analysis
  • On-page optimisation
  • Content recommendations
  • Internal linking strategies
  • Local SEO
  • Performance monitoring
  • Monthly reporting
  • Ongoing optimisation

We continuously monitor industry developments and apply recognised best practices to improve the long-term visibility and performance of our clients’ websites.

While we are confident in the quality of our expertise and strive to achieve the strongest possible outcomes for every client, search engine performance is influenced by numerous factors beyond the control of any agency.

These factors include, but are not limited to:

  • Search engine algorithm updates
  • Industry competition
  • Website history and authority
  • Competitor activity
  • User behaviour
  • Technical limitations
  • Client implementation of recommendations
  • Changes made by third parties

For these reasons, specific search rankings, traffic levels, enquiries, or commercial outcomes cannot be guaranteed within a particular timeframe.

SEO is a long-term investment that typically delivers the best results through consistent optimisation, quality content, technical improvements, and ongoing collaboration between the client and Thinkegic Tech Ltd.

14. Digital Marketing & Paid Advertising

Thinkegic Tech Ltd provides professional digital marketing services designed to help businesses increase visibility, generate enquiries, strengthen brand awareness, and achieve sustainable business growth.

Our services may include:

  • Meta Advertising
  • Google Advertising
  • Social Media Advertising
  • Campaign Strategy
  • Audience Research
  • Creative Design
  • Copywriting
  • Campaign Management
  • Conversion Optimisation
  • A/B Testing
  • Performance Analysis
  • Reporting

Every advertising campaign is developed using industry best practices, market research, data analysis, and our professional experience.

We continually monitor campaign performance and make strategic adjustments to maximise efficiency and improve results wherever possible.

Although we take great pride in delivering high-quality digital marketing services and work diligently to optimise every campaign, advertising performance is influenced by many external factors beyond our direct control.

These may include audience behaviour, market demand, seasonal trends, competition, advertising platform algorithms, budget allocation, product pricing, landing page quality, and changes to platform policies.

As a result, while we always endeavour to achieve the strongest possible return on investment for our clients, no ethical marketing agency can guarantee a specific number of leads, sales, enquiries, revenue, or advertising performance within a fixed period.

Our commitment is to apply our knowledge, experience, and continuous optimisation to help clients achieve the best possible outcomes based on their objectives, budget, and market conditions.

Advertising spend paid directly to advertising platforms remains separate from our management fees and is subject to the policies and terms of the respective platform.

15. Intellectual Property

Unless otherwise agreed in writing, all preliminary concepts, proposals, drafts, mock-ups, working files, source files, development frameworks, proprietary code, templates, methodologies, and internal processes created by Thinkegic Tech Ltd remain our intellectual property.

Upon receipt of full payment, the client will receive ownership or the applicable licence to use the final approved deliverables specifically agreed within the project.

This may include:

  • Final logo files
  • Final website design
  • Final marketing creatives
  • Final written content
  • Other completed deliverables identified within the agreement

Third-party assets, including fonts, stock imagery, plugins, software licences, APIs, and other licensed materials remain subject to the licence terms of their respective owners.

Clients may not resell, redistribute, modify, or claim ownership of Thinkegic Tech Ltd’s proprietary systems, templates, or internal resources unless expressly agreed in writing.

16. Confidentiality

Thinkegic Tech Ltd respects the confidentiality of all client information.

Both parties agree to treat confidential information received during the course of a project as strictly confidential and not disclose such information to third parties except:

  • Where disclosure is required by law.
  • Where disclosure is necessary to deliver the agreed services.
  • Where prior written consent has been obtained.

Confidential information may include business strategies, financial information, technical documentation, customer information, login credentials, marketing plans, trade secrets, and any other information identified as confidential.

Our employees, contractors, and trusted service providers are required to maintain appropriate standards of confidentiality when working on client projects.

17. Portfolio Rights

Unless otherwise agreed in writing, Thinkegic Tech Ltd reserves the right to display completed projects within our:

  • Website
  • Portfolio
  • Social media platforms
  • Marketing materials
  • Presentations
  • Award submissions
  • Promotional publications

This may include screenshots, branding, project summaries, or publicly available information relating to completed work.

Where a project is subject to a written confidentiality agreement or contains commercially sensitive information, we will respect those obligations and will not publish such work without the client’s prior consent.

18. Third-Party Services

Our services may involve the use of third-party products, platforms, software, or providers, including but not limited to:

  • Domain registrars
  • Hosting providers
  • Payment processors
  • Cloud services
  • Google services
  • Meta platforms
  • Microsoft services
  • Analytics providers
  • Stock image libraries
  • Premium plugins
  • Software licences

While we carefully select reputable providers, Thinkegic Tech Ltd is not responsible for interruptions, outages, pricing changes, policy updates, account suspensions, security incidents, or other issues arising from third-party services beyond our reasonable control.

Where third-party licences or subscriptions are required, the client is responsible for maintaining valid licences unless otherwise agreed as part of our service.

19. Client Approval & Acceptance

At various stages of a project, Thinkegic Tech Ltd may request the Client’s review and approval of deliverables, including but not limited to design concepts, branding, website layouts, development milestones, marketing materials, written content, advertising creatives, or any other agreed deliverables.

Approval may be provided through email, WhatsApp, project management software, messaging platforms, signed documents, or any other written form of communication.

Once the Client provides approval, the relevant deliverable shall be deemed accepted.

Following acceptance:

  • The approved work will be considered final for that stage of the project.
  • Any subsequent changes requested by the Client may be treated as revisions or additional work and may incur additional charges.
  • Thinkegic Tech Ltd shall not be responsible for any errors, omissions, or changes that were visible at the time approval was given but were not identified by the Client.
  • Approved work shall not be eligible for a refund solely because the Client later changes their preference, branding direction, business strategy, or personal opinion.

Where approval is delayed for an unreasonable period, Thinkegic Tech Ltd may proceed based on the latest agreed version in order to maintain project timelines.

20. Refund Policy

At Thinkegic Tech Ltd, client satisfaction is extremely important to us. We are committed to delivering high-quality digital solutions, transparent communication, and professional service throughout every project.

As many of our services involve bespoke creative work, technical development, strategic planning, consultancy, and professional expertise, significant resources are allocated specifically to each client.

For this reason, refund requests are assessed fairly, reasonably, and on a case-by-case basis.

Before Work Begins

If you decide to cancel your project before any work has commenced, you may be eligible for a refund of the amount paid, less any reasonable administrative costs, payment processing charges, or expenses already incurred on your behalf.

Once Work Has Commenced

Once work has commenced, our team allocates designers, developers, marketers, consultants, and project managers to your project. Professional time, expertise, planning, and creative resources invested up to the date of cancellation are non-refundable.

Where appropriate, Thinkegic Tech Ltd may, at its sole discretion, issue a partial refund relating only to the clearly identifiable portion of services that has not yet been started.

Approved Deliverables

Once any stage of work has been reviewed and approved by the Client, that stage shall be considered accepted.

Refunds will not be issued for approved work simply because the Client later wishes to change direction, revise requirements, or pursue a different design or marketing approach.

Design & Branding Services

Logo design, branding, graphic design, illustrations, UI/UX design, and other creative services involve original intellectual work prepared specifically for each client.

Accordingly, payments relating to completed concepts, drafts, revisions, or approved creative work are generally non-refundable.

Website Design & Development

Website projects involve planning, research, design, development, testing, optimisation, quality assurance, and deployment.

If a project is cancelled after any of these stages have commenced, the Client remains responsible for payment relating to work completed up to the cancellation date.

SEO Services

SEO services begin immediately after engagement and include technical analysis, keyword research, optimisation, implementation, monitoring, reporting, and ongoing strategic improvements.

Because these services involve professional expertise delivered continuously throughout the engagement, completed SEO work is non-refundable.

Digital Marketing & Paid Advertising

Management fees relating to campaign strategy, creative production, audience research, campaign setup, optimisation, reporting, or account management become non-refundable once those services have commenced.

Advertising budgets paid directly to Meta, Google, LinkedIn, TikTok, or any other advertising platform remain subject to the terms and policies of those providers.

Hosting, Domains & Third-Party Services

Domain registrations, hosting services, SSL certificates, premium plugins, software licences, third-party subscriptions, and similar purchases are generally non-refundable once provisioned, registered, activated, or renewed.

Exceptional Circumstances

We understand that exceptional situations may arise. Where appropriate, Thinkegic Tech Ltd may, entirely at its discretion, offer a partial refund, service credit, or another reasonable solution where we consider it fair to do so.

Nothing in this Refund Policy affects any statutory rights you may have under applicable law.

21. Cancellation Policy

Clients may cancel a project or ongoing service at any time by providing written notice.

Before Project Commencement

If cancellation is requested before work has commenced, Thinkegic Tech Ltd will review the request and, where applicable, process any refund in accordance with the Refund Policy.

During an Active Project

If cancellation occurs after work has commenced, the Client agrees to pay for all work completed up to the cancellation date.

Completed work may include:

  • Discovery sessions
  • Research
  • Project planning
  • Strategy development
  • Branding
  • Design concepts
  • Website development
  • Mobile application development
  • Content creation
  • Campaign planning
  • SEO implementation
  • Marketing strategy
  • Consultation sessions
  • Project management
  • Testing and quality assurance

Outstanding invoices for completed work remain payable regardless of cancellation.

Subscription & Recurring Services

Recurring services including SEO, digital marketing, social media management, hosting, website maintenance, consulting retainers, or similar monthly services may be cancelled by providing at least 30 days’ written notice, unless otherwise agreed in writing.

Charges already invoiced or paid for the current billing period are generally non-refundable.

Client Inactivity

Projects depend upon timely communication.

If a Client becomes unresponsive for more than 30 consecutive days, Thinkegic Tech Ltd may place the project on hold.

If no communication is received for 90 consecutive days, the project may be considered abandoned and closed.

Reactivating an abandoned project may require a revised quotation and additional charges.

22. Suspension & Termination

Thinkegic Tech Ltd reserves the right to suspend or terminate services immediately where:

  • Payments remain overdue.
  • The Client materially breaches these Terms.
  • Fraudulent, unlawful, or deceptive activity is suspected.
  • The Client abuses, threatens, or harasses our employees or representatives.
  • Continuing the engagement would expose Thinkegic Tech Ltd to legal, financial, reputational, or security risks.

Termination shall not affect the Client’s obligation to pay for services already performed.

23. Limitation of Liability

Thinkegic Tech Ltd will exercise reasonable care, skill, and professionalism in providing its services.

To the fullest extent permitted by applicable law, Thinkegic Tech Ltd shall not be liable for any indirect, incidental, consequential, special, exemplary, or economic loss arising from the use of our website or services, including but not limited to:

  • Loss of profits
  • Loss of revenue
  • Loss of business opportunities
  • Loss of anticipated savings
  • Loss of contracts
  • Loss of goodwill
  • Loss of data
  • Business interruption
  • Cyber incidents beyond our reasonable control
  • Failures or outages of third-party platforms or providers

Our total liability in connection with any claim shall not exceed the total amount paid by the Client for the specific service giving rise to that claim.

24. Force Majeure

Neither party shall be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond its reasonable control.

These events may include natural disasters, fire, flood, war, terrorism, civil unrest, government restrictions, pandemics, utility failures, internet outages, cyber attacks, industrial action, or failures of third-party infrastructure.

25. Privacy & Data Protection

Thinkegic Tech Ltd is committed to protecting your personal information in accordance with applicable data protection legislation.

Our collection, use, storage, and processing of personal information are governed by our Privacy Policy, which should be read alongside these Terms & Conditions.

26. Governing Law & Jurisdiction

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of England and Wales.

Any dispute arising from these Terms or the services provided by Thinkegic Tech Ltd shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Both parties agree to make reasonable efforts to resolve disputes through good-faith discussions before commencing legal proceedings.

27. Changes to These Terms

Thinkegic Tech Ltd reserves the right to amend these Terms & Conditions at any time to reflect changes in legal requirements, business practices, or our services.

The latest version will always be published on our website together with the revised Effective Date.

Your continued use of our website or services after such changes constitutes acceptance of the updated Terms.
